Transactional Paralegal (Corporate and Real Estate)- Seattle
We are seeking an experienced corporate paralegal to work with a well-regarded transactional practice in our Seattle office.
Qualifications:
- Bachelor’s degree or equivalent experience required
- Minimum of five years of experience as a corporate transactional paralegal
- Strong understanding of corporate law and transactional processes
- Excellent organizational and project management skills
- Excellent interpersonal skills with a solution-oriented mindset
- Strong attention to detail and high level of accuracy
- Strong writing and communication skills
- Proficiency in MS Office and initiative to continually improve technology skills; familiarity with project management and document management software desired
Responsibilities
- Assist attorneys in drafting and reviewing legal documents including contracts and resolutions
- Assist with review of title commitments, closings, and ancillary agreements in real estate transactions.
- Coordinate and manage due diligence process for mergers, acquisitions, and other corporate transactions, including reviewing financial statements, contracts and other relevant documents
- Coordinate and manage closing processes for corporate transactions
- Draft and file corporate documents with state and federal agencies
- Maintain corporate records, including entity formation, board minutes and stockholder records
- Assist with corporate governance matters, such as preparing for board meetings and maintaining compliance with federal regulations.
- Work directly and communicate well with clients, advisors, opposing counsel, and other parties involved in transactions.
The expected salary range for this position is $95,000 - $115,000. Compensation will be determined based on the individual’s qualifications, skills, and experience.
