Joint Ventures & Fund Formation
We assist clients with joint ventures or fund arrangements between project sponsors and investors. We structure, negotiate and document partnerships, limited liability companies and fund arrangements between individual and institutional, domestic and foreign, and taxable and tax-exempt investors.
We also assist in the formation and administration of real estate funds, including real estate investment trusts, pension funds, private equity funds and other operating subsidiaries.

Development & Construction
We negotiate and draft design, development and construction contracts that clearly outline responsibility and allocate risks fairly. Issues we address include cost overruns, savings, value engineering, contingency, delay, force majeure, change orders, green building, insurance, indemnification and termination.
We represent both borrowers and lenders in commercial real estate financing. Working closely with our Financial Services practice, we assist clients with mortgage financing, construction lending, mezzanine lending, securitized loan transactions, private placement financing, participating loans, preferred equity, portfolio financing, HUD lending, and lines of credit.
Our leasing clients include landlords and tenants of office, retail, multi-family, industrial and medical office projects. We provide management and leasing advice and draft documentation focused on our clients’ specific needs. We have negotiated and drafted leases involving many national anchor tenants and Fortune 500 companies.
In addition to advising clients on the purchase of properties, we assist with all aspects of asset dispositions, including sale agreements, brokerage agreements, due diligence and access agreements, seller-financing documentation, 1031 exchange documentation, escrow holdback arrangements, and entity dissolution.
We also assist with restructuring, including deeds in lieu of foreclosures, loan workouts and partnership rearrangements.
