Acquisition of marine construction company, sale of majority interest to private equity firm and ongoing representation in general counsel role for company, including drafting and negotiating domestic and international sale of vessels.

Acquisition of business office furniture and equipment dealer.

Acquisition of wireless telephone systems and licenses.

Intellectual Property, Technology and Telecommunications:

Draft and negotiate technology development and license agreements for on-line retail company; website development and operations agreements; manufacture, supply and distribution agreements and outsource agreements.

Advise clients on wide range of intellectual property licensing, contract issues, new media, e-commerce, privacy and terms of use, and other Internet-related issues.

Representation of telecommunications service providers and users with respect to the acquisition, use and sharing of telecommunication services and networks, including data centers, facility sharing, other collocation arrangements.

Representation of telecommunication infrastructure users in the acquisition of telecommunication services, including internet, network management, fiber, maintenance and related service level agreements.

Representation of clients in the acquisition and finance of equipment and network infrastructure facilities.

Real Estate:

Representation of clients in a variety of real estate transactions, including leasing of corporate offices, retail sites, industrial sites and telecommunication site acquisition. In addition, representation with respect to related service agreements including site acquisition, design and construction services.

Draft and negotiate agreements for acquisition of agricultural properties.

General Business and General Counsel Representation:

Counseling on a variety of business operations matters, including negotiation of confidentiality and nondisclosure agreements, independent contractor agreements and master service agreements.

Preparation and negotiation of dealer/distribution agreements for multiple level distribution chain.

Representation of health care clinic on variety of matters including joint venture agreements, sponsorship agreements, residency programs and lease issues.
